1. Scope and Acceptance

By accessing this website or placing an order with GreenLeaf Ingredients (we, us, our), you agree to be bound by these Terms & Conditions (Terms). If you do not agree, you must not use this site or purchase our products. We may update these Terms at any time by posting a revised version on our website; the revised version will apply from the date of publication.

2. Business Purpose

GreenLeaf Ingredients supplies raw botanical extracts and powders to businesses for use in cosmetic, personal care and nutraceutical formulations. Our products are not sold to individual consumers for direct consumption and are not therapeutic goods. You must ensure that your finished products comply with all applicable laws and regulatory requirements.

3. Ordering and Minimum Quantities

Orders may be placed by email, phone or via our online enquiry form. Our minimum order quantity is 5 kg per product unless otherwise stated. All orders are subject to our acceptance and stock availability. We may request additional information to verify your identity or confirm the intended use of the goods. A contract is formed only when we issue a written confirmation of your order.

4. Pricing and Payment

Prices are quoted in Australian dollars. Unless we state otherwise in writing:

  • Included costs: Our product price covers procurement, international freight and import-related charges (e.g. customs clearance) to Australia. 
  • Excluded costs: Domestic delivery from the port of arrival to your nominated address is not included in the product price. We will quote the delivery cost based on your location and order size when you place your order. You may accept our delivery service or arrange your own carrier. 
  • GST: Prices exclude GST, which will be added where applicable. 

Because the cost of botanical ingredients may fluctuate due to exchange rates and global supply, we may change prices without notice. A written quotation is valid for 14 days. We require full payment before dispatch unless we have agreed credit terms. We accept bank transfer, credit card or other payment methods specified on our invoice. You must pay all bank charges and transaction fees.

5. Delivery and Risk

We deliver goods to the address specified in your order or hand them to your nominated carrier. Estimated delivery times provided by us or our carriers are indicative only. Risk in the goods passes to you upon delivery to your nominated address or collection by your carrier. Title in the goods does not pass to you until we receive full payment. You are responsible for insuring the goods from the time risk passes.

6. Inspection and Returns

You must inspect the goods within 5 business days of delivery and notify us in writing if you consider the goods damaged, defective or not in accordance with your order. If we agree that goods are defective or incorrectly supplied, we will, at our option, replace the goods, supply equivalent goods or refund the price paid, as required by the Australian Consumer Law (ACL). Except where required by the ACL, we do not accept returns for change of mind or for goods that have been used, repackaged or altered.

7. Statutory Guarantees

Our goods may be covered by statutory guarantees under the ACL when supplied to a consumer as defined in that legislation (for example, where goods are priced under A$100 000 or ordinarily acquired for personal, domestic or household use). Where these guarantees apply, they cannot be excluded. In those circumstances, your rights in respect of failures are limited to the remedies provided by the ACL. We do not offer any additional warranties beyond those required by law. Nothing in these Terms is intended to exclude or restrict statutory guarantees or your rights under the ACL where they apply.

8. Product Information and Regulatory Compliance

All information on our website, in our catalogue and in our marketing materials is provided in good faith for general educational purposes. You are responsible for determining whether a product is suitable for your intended purpose and ensuring that your finished products comply with all applicable laws and regulatory requirements (including those of the Therapeutic Goods Administration and the Australian Industrial Chemicals Introduction Scheme). You must not rely on statements on this site as regulatory or medical advice. We are not responsible for any unlawful or improper use of our products or for any claims made by you about your finished products.

9. Use of Products

Our extracts and powders are raw materials. They are not intended for ingestion or direct application to the human body in their supplied form. They should not be used as therapeutic goods or in ways that contravene the Therapeutic Goods Act 1989, the Industrial Chemicals Act 2019 or other applicable legislation. You must handle and store products safely and adhere to any allergen warnings, usage limits and safety precautions.

10. Intellectual Property

The content on our website, catalogue and promotional materials—including text, images, logos and layouts—is protected by copyright and other intellectual‑property rights. You may download or print content for your internal business purposes only. You must not reproduce, modify, adapt, publish or distribute our content without our prior written permission.

11. Privacy

When you interact with us or place an order, we may collect personal information such as your name, job title, company name, contact details and payment information. We use this information to process orders, manage your account and communicate with you. We may share your details with service providers (such as couriers and payment gateways) to fulfil your order. We comply with the Privacy Act 1988 and the Australian Privacy Principles. For more information on how we handle personal information, please refer to our Privacy Policy.

12. Limitation of Liability

To the extent permitted by law, we exclude all warranties and conditions not expressly set out in these Terms. We are not liable for any loss or damage arising from: (a) improper storage, use or handling of the goods; (b) reliance on information provided on our website or in our marketing; (c) any delay or failure in performance due to events beyond our reasonable control; or (d) any indirect or consequential loss, including loss of profits, business interruption or opportunity cost. Where liability under the ACL cannot be excluded, our liability is limited to the replacement of the goods or the cost of supplying equivalent goods.

13. Indemnity

You indemnify and hold harmless GreenLeaf Ingredients, its directors, employees and agents from and against any claims, actions, losses or damages (including legal costs) arising out of: (a) your breach of these Terms; (b) your misuse of our products; or (c) your violation of any law or the rights of a third party.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Western Australia. You agree to submit to the non‑exclusive jurisdiction of the courts of Western Australia for any dispute arising out of these Terms or your purchase of our products. Before initiating court proceedings, the parties must use reasonable endeavours to resolve disputes in good faith.

15. General

If any provision of these Terms is held invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force. Our failure to enforce any right or provision in these Terms does not waive that right or provision. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights or obligations upon written notice to you.
